Thai white fragrant rice of “golden lion globe” brand, purity of fragrant rice: 80% min, 1997/1998 new crop.

Quality
a）specifications for Thai white fragrant rice of（“golden lion globe” brand/Hong Kong standard）are the same as Thai white rice 100% class B.
b）the rice supplied by the sellers shall be composed of pure Thai fragrant rice not less than 80 percent.
c）the rice supplied by the sellers shall be in good condition, fit for human consumption, without any unpleasant ODOUR, free from any signs of mould fermentation or deterioration as well as free from live insect pests.
d）the quality of the rice shall not be inferior in grain, color ANDMILLING to the latest export standard established by the ministry of commerce of the government of Thailand rice which does not conform with the latest standard of the government of Thailand shall be rejected or replaced.
e）the rice supplied by the sellers shall be free from the following diseases, pests and weeds dangerous to plants in accordance with the regulations of the ministry of agriculture of the people’s republic of china:
1) PROST PHANUS TRUNCATUS (HORN);

表示商品品质的方法
1．以实物表示商品的品质
以作为交易对象的商品的实际品质或以代表商品品质的样品来表示商品的品质，包括：
（1）看货成交
又称凭现货买卖，即根据现有商品的实际品质买卖。具体做法：在货物存放地卖方向买方展示货物，买方或其代理人逐一检视，对满意的货物即与卖方达成交易。这种做法，多见于寄售、拍卖、展卖等贸易业务中。
（2）凭样品买卖
指交易双方规定以样品表示商品的品质并以之作为卖方交货品质的依据。在国际贸易实务中，有些商品难以用文字来说明其品质，代之以实物样品来表示。
根据样品提供者的不同，凭样品买卖可分为：
①凭卖方样品买卖
②凭买方样品买卖
③凭对等样品买卖

2．用文字说明表示商品的品质
即以文字、图表、相片等方式来说明商品的品质，包括：
（1）凭规格买卖。
指用反映商品品质的指标，如成分、含量、性能等来确定商品品质的交易。如：“统一”鲜橙多鲜橙汁饮料，鲜橙原汁含量10%。
（2）凭等级买卖。
指同类商品因规格不同，而用文字、数码或符号进行分类，以此来确定商品品质的交易。如2002中国绿茶，特珍一级。
（3）凭标准买卖。
指以政府机关或工商团体统一制定的标准来确定商品品质的交易。如美国的UL 是其电器电子产品的国家检验标准。
在买卖农副产品时，还有两种常见的标准：FAQ“良好平均品质”（Fair average quality）和GMQ“良好可销品质”（Good merchantable quality）。
（4）凭说明书和图样买卖。
对于某些工业制成品，如电器、仪表等，很难用几个简单的指标来反映其品质，而需要凭说明书、照片或图样来具体地描述其内部构造及性能，按此方式交易，称为凭说明书和图样买卖。
（5）凭商标或牌号买卖。
指对某些质量稳定且在市场上有着良好声誉的商品，买卖双方在磋商和签订合同时，直接采用这些商品的商标或牌号来作为商品的品质表示，按此方式交易，称为凭商标或牌号买卖。如“张小泉”剪刀、“海尔”家用 电器、“Software”软件等。
（6）凭产地名称买卖。
有些商品，尤其是农副土特产品，其品质因产地而异，交易中仅凭产地就可说明商品的品质好坏，即凭产地名称买卖。如四川涪陵榨菜、浙江金华火腿、山东龙口粉丝等。

17 人力不可抗拒因素：
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。
Force Majeure：
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement e to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18 仲裁：
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procere. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
